1. Scope

These Terms and Conditions apply to all services provided by:

The services mainly include software development, industrial automation solutions, technical simulations, and consulting services.

2. Contract Formation

A contract is formed when the client accepts a written offer provided by VilFix or when work is explicitly commissioned by the client.

3. Services

VilFix provides services in the fields of:

• Software development
• Industrial automation systems
• Simulation and visualization tools
• Technical consulting

The specific scope of work will be defined individually in project agreements or proposals.

4. Payment Terms

Unless otherwise agreed, invoices are payable within:

• 14 days after invoice date

VilFix reserves the right to request partial payments for larger projects.

5. Intellectual Property

Unless otherwise agreed in writing, the client receives a non-exclusive license to use the developed software or solutions for the agreed purpose after full payment.

6. Liability

VilFix is liable only for damages caused by intentional or grossly negligent behavior.

Liability for indirect damages, lost profits, or consequential damages is excluded unless required by law.

7. Client Responsibilities

The client is responsible for providing all necessary information, materials, and access required for the project.

8. Termination

Both parties may terminate a project agreement for good cause.

Work performed up to the termination date must be compensated.

9. Applicable Law

The laws of the Federal Republic of Germany apply.

10. Final Provisions

If individual provisions of these Terms and Conditions are invalid, the remaining provisions remain unaffected.
